By accessing or using any SCOVR service — including scovr.com, our applications, APIs, and related software (collectively, the "Service") — you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not access or use the Service.
These Terms constitute a legally binding agreement between you and SCOVR Ltd., a company registered in Ireland (CRO 814260) with its registered office at Venture Hub, 136 Capel Street, D01 T2C9, Dublin, Ireland.
If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and references to "you" include that organisation.

Description of Service
SCOVR is a privacy-first platform providing secure messaging, encrypted video communication, file sharing, and personal data hosting. Our mission is to give individuals and organisations full sovereignty over their digital communications and data.
The Service is currently in a waitlist and early-access phase. Features, functionality, and availability may change without notice during this period. We reserve the right to modify, suspend, or discontinue any part of the Service at our sole discretion.

Eligibility and Accounts
To use the Service you must:
Be at least 16 years of age (or the minimum age of digital consent in your jurisdiction, whichever is higher).
Have the legal capacity to enter into a binding contract.
Not be prohibited from receiving the Service under applicable law.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at security@scovr.com if you suspect any unauthorised access.
You may not create an account using false information, impersonate another person, or create more than one account without our express written permission.

Acceptable Use
You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others. You must not:
Use the Service to distribute, transmit, or store content that is illegal, defamatory, threatening, or that infringes third-party intellectual property rights.
Attempt to gain unauthorised access to any part of the Service, its infrastructure, or other users' accounts.
Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent.
Transmit malware, viruses, or other malicious code.
Engage in any activity that disrupts, degrades, or impairs the performance of the Service for other users.
Use the Service to send unsolicited commercial communications (spam).
Circumvent or disable any security or technical measures within the Service.
We reserve the right to investigate and take appropriate action against any suspected violation, including suspension or termination of access.

Privacy and Data
Your privacy is foundational to what SCOVR is built for. Our collection, use, and storage of your personal data is governed by our Privacy Policy, which forms part of these Terms by reference.
By using the Service, you acknowledge and agree to the data practices described in our Privacy Policy, including the processing of your personal data as a data controller under the General Data Protection Regulation (GDPR) and applicable Irish data protection law.
Where the Service involves end-to-end encrypted communications, SCOVR does not have the technical ability to access the content of those communications.

Your Content
You retain full ownership of all content you create, upload, send, or store using the Service ("Your Content"). We do not claim any intellectual property rights over Your Content.
By using the Service, you grant SCOVR a limited, non-exclusive, royalty-free licence to store, transmit, and process Your Content solely to the extent necessary to provide the Service to you. This licence terminates when you delete Your Content or close your account, subject to any retention obligations required by law.
You are solely responsible for Your Content and represent that you have all rights necessary to grant the above licence and that Your Content does not violate these Terms or any applicable law.

Intellectual Property
The Service, including all software, design, trademarks, logos, and content created by SCOVR, is owned by SCOVR Ltd. or its licensors and is protected by Irish and international intellectual property law.
Nothing in these Terms grants you any right to use SCOVR's trademarks, trade names, or logos without our prior written consent. Feedback, suggestions, or ideas you submit regarding the Service may be used by SCOVR without any obligation to you.

Disclaimers and Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, SCOVR disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any defects will be corrected.
Nothing in these Terms limits or excludes any statutory rights you may have as a consumer under Irish or EU law that cannot be lawfully excluded.

Limitation of Liability
To the fullest extent permitted by applicable law, SCOVR Ltd. and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from:
Your access to or use of (or inability to access or use) the Service.
Any unauthorised access to or use of our servers or any personal information stored therein.
Any interruption or cessation of transmission to or from the Service.
Any bugs, viruses, or similar harmful code transmitted through the Service by any third party.
Our aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of €100 or the amount you paid us in the twelve months preceding the claim.

Termination
You may stop using the Service and close your account at any time by contacting us at support@scovr.com.
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if we reasonably believe you have materially breached these Terms or any applicable law, or if required to do so by law or a competent authority.
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including sections on intellectual property, disclaimers, limitation of liability, and governing law — will survive.

Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, where the changes are material, notify you by email or by a prominent notice within the Service at least 14 days before they take effect.
Your continued use of the Service after a change becomes effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, please stop using the Service before the effective date.

Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Republic of Ireland, without regard to its conflict-of-law provisions.
Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Ireland, unless you are a consumer in another EU member state, in which case you may also bring proceedings in the courts of your country of domicile.
If you are an EU consumer, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
Users outside the EU/EEA — If you access or use the Service from a jurisdiction outside the European Economic Area — including but not limited to the Gulf Cooperation Council states (Saudi Arabia, UAE, Qatar, Kuwait, Bahrain, Oman), India, Pakistan, or any other territory — you do so at your own initiative and are solely responsible for compliance with all applicable local laws, regulations, and restrictions in your jurisdiction. Such laws may differ significantly from EU and Irish law, including in relation to encryption, data privacy, and electronic communications. SCOVR makes no representation that the Service is appropriate, permitted, or available for use in your jurisdiction. Where local law prohibits or restricts the use of encrypted communications services, you must not use those features of the Service. Regardless of where you are located, any dispute arising from these Terms remains subject to the exclusive jurisdiction of the courts of Ireland as set out above.
